Snellman advises Soltech Energy Sweden AB (publ), listed on Nasdaq First North Growth Market, in connection with its fully guaranteed SEK 99 million issue of new shares with preferential rights for the shareholders, and in connection with certain related transactions. The rights issue is subject to approval by an Extraordinary General Meeting of Soltech Energy and Soltech Energy’s largest shareholder, Nordic Capital, has committed to subscribe for its pro rata share and to guarantee the remainder of the rights issue. The Swedish Securities Council has granted Nordic Capital an exemption from the obligation to make a mandatory offer for all shares in Soltech Energy in connection with the rights issue. SB1 Markets acts as Sole Global Coordinator and Bookrunner in connection with the rights issue.
In connection with the rights issue, new share-related incentive programmes are introduced for Soltech Energy’s management, key employees and certain board members. Further, Soltech Energy’s main lenders have agreed to certain concessions and amendments to Soltech Energy’s existing financing arrangements. The incentive programmes and the financing concessions and amendments are conditional, inter alia, upon approval by the EGM and completion of the rights issue. To create an appropriate capital structure following completion of the rights issue, Soltech Energy also implements a subsequent reduction of its share capital and share quota value, subject to, inter alia, approval by the EGM and completion of the rights issue.
