Snellman acted as counsel to the buying consortium comprising Ahlström Capital BV and Nidoco AB, in the investment in the majority share of Ahlstrom-Munksjö’s Decor Solutions business area. The Decor Solutions business area is one of Ahlstrom-Munksjö‘s five reporting segments offering the broadest assortment of high-quality decor papers in its industry. The production of the Decor Solutions business takes place at six plants: Unterkochen and Dettingen in Germany, Tolosa in Spain, Arches in France, Caieiras in Brazil, and Xingtai in China. Including Xingtai, which was acquired in January 2022, the annual net sales of the Decor Solutions business is approximately EUR 500 million, and it has a production capacity of around 250,000 tons. Currently the combined businesses employ 1,200 people. The planned reorganisation is expected to be completed by the end of the third quarter of 2022.

Snellman acted as counsel to Soltech Energy Sweden AB (publ) in its acquisition of the Dutch solar energy company 365 Energie Holding B.V. (“365zon”), the acquisition of the remaining 40 per cent of the subsidiary Din Takläggare i Värmland-Dalsland AB (“Din Takläggare”), and the bolt-on acquisition of the solar energy company Solexperterna Värmland AB (“Solexperterna”).
Soltech Energy Sweden AB (publ) acquired 53.3 per cent of the shares in 365zon, which had sales of SEK 250 million in 2021 and is estimated to have sales of approximately SEK 350 million in 2022 with an operating profit of approximately 10 per cent. This is Soltech’s first international acquisition and establishes the Soltech group in the growing Dutch solar energy market. The acquisition is financed entirely with own cash and with newly issued Soltech shares.
Soltech Energy Sweden AB (publ) also acquired the remaining 40 per cent of the shares in its subsidiary Din Takläggare and, in connection with the acquisition, the Soltech Group made its first bolt-on acquisition by way of acquiring 100 per cent of the solar energy company Solexperterna through Din Takläggare. The bolt-on acquisition of Solexperterna further strengthens Din Takläggare’s solar energy competence and installation capacity. Both acquisitions were financed entirely by equity with newly issued Soltech shares.

Snellman acted as counsel to Soltech Energy Sweden AB (publ) in its acquisition of 70 per cent of the shares in Falu Plåtslageri AB (Falu Plåtslageri) and Tak & Bygg in Falun AB (Takab), respectively. The acquisitions are Soltech’s first in Dalarna and will strengthen the group’s presence in Central Sweden. The acquisition will be financed entirely with the group’s own cash and newly issued Soltech shares.
Soltech has an offensive growth strategy with acquisitions in the solar, roof, façade, and electrical engineering industries. Together, these companies will create synergy effects and build a strong hub with cross-border expertise that can offer complete solutions.
Takab was founded in 2004 and has since had a successful journey. In 2017, Takab’s owner acquired Falu Plåtslageri, a classic sheet metal manufacturer founded as early as 1952. Since then, the companies have been run by the same owner, Jon Onsbacke. Both companies have great ambitions to add solar energy to their offerings as they now become part of Soltech.

The acquisition is Soltech’s second acquisition in the facade industry and will strengthen the group’s presence in this growing segment. The acquisition will be financed entirely by own cash and newly issued Soltech shares.
Essaglas was founded in 2012 and has since had a successful journey and is currently at the forefront of its industry. The business is run from a production facility outside Örebro, and the company performs all types of exterior and interior glass solutions, with an emphasis on facade construction of commercial properties. As Essaglas now becomes part of Soltech, the intention is to grow within solar cell facades.
