Caroline has considerable experience of matters related to drafting, interpreting, negotiating and disputing commercial agreements related to data, artificial intelligence (AI) tech and other digital products and services. Additionally, she provides guidance to financial institutions and government agencies regarding cloud services and outsourcing.

Snellman is acting as counsel to Bonnier Capital in connection with its investment of up to SEK 140 million in AAC Clyde Space, a company listed on Nasdaq First North Premier Growth Market in Stockholm. The investment comprises a directed share issue of SEK 100 million and up to SEK 40 million in additional investment in 2026, through which Bonnier Capital is set to become the company’s largest shareholder.

AAC Clyde Space provides small satellite technologies and mission services that enable governments, businesses and institutions to access high-quality space-based data, with applications including weather monitoring, maritime safety, security and defence, agriculture and forestry. Parts of the investment remain subject to approval at AAC Clyde Space’s extraordinary general meeting and by the Swedish Inspectorate of Strategic Products (ISP).

2025

Snellman acted as legal counsel to Incore Invest, a Swedish investment firm, in its acquisition of CoreOrchestration AB from Worldline in a carve-out transaction. The acquisition, a nine-figure deal, is expected to close in Q1 2026 and will result in CoreOrchestration operating as a standalone company under Incore Invest’s ownership.

At the heart of CoreOrchestration is PaymentIQ, a SaaS payment orchestration platform built to help merchants centrally manage, optimise and scale payment flows across providers and markets.

Snellman acted as counsel to Bonnier Capital in its SEK 200 million investment in its existing portfolio company Vertiseit, listed on Nasdaq First North, thereby becoming the largest shareholder in Vertiseit. In connection with Bonnier Capital’s investment, Vertiseit acquired the Swedish company Visual Art for a purchase price of approximately SEK 469 million.

Snellman acted as counsel to Thoma Bravo in its growth investment in Hypergene, a Swedish software-as-a-service company for planning and performance management. As part of the investment, Thoma Bravo acquires a majority stake from Monterro and other minority shareholders.

Hypergene, headquartered in Malmö, and with over 200 people employed across eight offices in Sweden, Norway, and Germany, is one of the larger players in Corporate Performance Management and Project & Portfolio Management (xP&A) in Northern Europe.

Thoma Bravo, one of the largest software investors in the world, has a 20-plus year history of providing capital and support to high-growth software businesses. This is Thoma Bravo’s third investment by its Europe-based team, and the first platform acquisition of a Swedish company.

Griffeye, based in Gothenburg, Sweden, and founded in 2015, is a leader in digital media forensics for child sexual abuse investigations.

Magnet Forensics is a developer of digital investigation solutions that acquire, analyze, report on, and manage evidence from digital sources, including mobile devices, computers, IoT devices and cloud services. Magnet Forensics is backed by Thoma Bravo, one of the largest software investors in the world.

Snellman counsel to Paulig in their strategic digitalisation programme

Snellman acted as a counsel to Paulig, a family-owned international company in the food and beverage industry, in their strategic digitalisation programme. We assisted Paulig with drafting and negotiating implementation project agreements and licence and cloud service agreements with international vendors of Enterprise Resource Planning Systems (ERP), Manufacturing Execution Systems (MES), and Integrated Business Planning (IBP) software.
