Snellman acted as counsel to Gruvaktiebolaget Viscaria, a company that is scaling up to become a modern and responsible producing mining company through the reopening of the Viscaria mine in Kiruna, on its directed issue and private placement of 144,222,570 new shares to professional investors, raising approximately SEK 2.4 billion before transaction costs, of which approximately SEK 1.7 billion was cash proceeds. Given the size of the share issue, part of the share issue is subject to approval by an extraordinary general meeting. The complex transaction also included a component under the Swedish so-called Lex Leo rules, a component subject to Swedish FDI approval, and parts of the share issue being paid by set-off. Handelsbanken Markets, Skandinaviska Enskilda Banken AB and Pareto Securities acted as joint global coordinators and joint bookrunners in the directed issue. Gruvaktiebolaget Viscaria is listed on Nasdaq Stockholm main market.

Snellman acts as legal advisor to Bonava AB (publ) in connection with Bonava’s contemplated issuance of new senior secured green floating rate notes, with an expected issue amount of SEK 1.5 billion under a total framework amount of SEK 2 billion.
Snellman also acts as legal advisor to Bonava in connection with Bonava’s agreement on the main terms for a new facilities agreement with a total credit volume of EUR 200.5 million, and the related conditional tender offer for and total redemption of Bonava’s outstanding SEK 960 million senior secured floating rate green notes.
Bonava is a leading residential developer in Europe with the purpose to create happy neighbourhoods for the many. With its 900 employees, Bonava develops residential housing in Germany, Sweden, Finland, Latvia, Estonia and Lithuania. To date, the company has built about 50,000 homes and reported net sales of approximately SEK 8 billion in 2025. Bonava’s shares and green bond are listed on Nasdaq Stockholm.

Snellman advised Gruvaktiebolaget Viscaria, a company listed on Nasdaq Stockholm Main Market and scaling up to become a modern and responsible producing mining company through the reopening of the Viscaria mine in Kiruna, on its rights issue of 90,120,964 new shares, raising approximately SEK 850 million before set-off of certain shareholder loans and before transaction costs. Combined with the private placement of new shares carried out by Viscaria ahead of the rights issue, in which Snellman also advised Viscaria, the company raised approximately SEK 1.65 billion. The offering of newly issued class B shares, which was heavily oversubscribed, amounted to SEK 1,000 million, and additional class B shares amounting up to SEK 150 million may be issued under an overallotment option. Tredje AP-fonden, Swedbank Robur Fonder, Öhman Fonder, and Weland AB were cornerstone investors in the offering and acquired shares for SEK 600 million in total. Based on the closing share price on the first day of trading, 3 December 2021, the market capitalisation of the company amounted to approximately SEK 5,417 million.
